Terms of Service

1. What PandaPrism is

PandaPrism ("we", "us") provides a software service ("the Service") that helps local businesses manage their online reviews. The Service lets you connect your review profiles, see your reviews in one inbox, draft responses to reviews with the help of AI, run review-request campaigns (SMS and email), view sentiment and competitor analytics, and receive AI-generated "Panda Insights" summary reports about your reviews.

2. Your account

To use the Service you must create an account with a valid email address. You are responsible for keeping your password safe and for everything that happens under your account. You must be at least 18 years old to use the Service, or have the permission of a legal guardian. One account may cover several team members through the team-seat system; the account owner is responsible for who they invite.

3. Plans, billing, and auto-renewal

PandaPrism is sold as a subscription, billed monthly:

• Starter — $49 per month
• Pro — $79 per month
• Agency — $149 per month

Your subscription renews automatically each month on your billing date until you cancel. Payment is processed by our payment provider, Stripe. By starting a paid subscription you authorize Stripe to charge the payment method you provide, each billing period, until you cancel. SMS and email overages beyond your plan's included allowance are billed at the published overage rates. Plan limits (locations, seats, AI-draft quotas) are as shown on the pricing page.

4. Free trial

New accounts start with a 14-day free trial. No payment method is required to start the trial. When the trial ends, your account continues on the plan you selected only after you add a payment method and confirm; nothing is charged during the trial itself.

5. Refunds

We want you to stay because the product works, not because billing trapped you. The policy is simple:

• Month-to-month billing. There are no annual contracts on any plan.
• Cancel anytime. Cancelling stops all future charges. Your account keeps working until the end of the billing period you already paid for.
• No refunds for partial months. Once a monthly billing period has started, we do not refund that month's charge — the same applies to overage charges for SMS or email that have already been used.
• Trial-period refunds. If you are charged in error (for example, a duplicate charge or a charge during the trial period), contact support@pandaprism.com and we will fix it.

6. Acceptable use

You agree not to:

• use the Service for anything unlawful, or to collect reviews in a way that violates the policies of Google, Trustpilot, Meta, or any other review platform;
• send review-request messages to people who have not consented to be contacted, or ignore opt-out ("STOP") requests — SMS campaigns must keep their consent language and STOP handling intact;
• post, solicit, or facilitate fake reviews;
• abuse, attack, or probe the Service (including password guessing, scraping the dashboard, or interfering with other customers' accounts);
• resell the Service or your account without our written permission (the Agency plan's client sub-accounts are the one exception — that is what it is for).

Breaking this section may get your account suspended or terminated.

7. AI-drafted replies — a human must approve

PandaPrism can draft replies to your reviews using AI, in a tone you configure. It never posts anything automatically: every draft requires your review and one-tap approval before it is published. You — the customer — are responsible for every reply published from your account. Review AI drafts for accuracy, tone, and truthfulness before approving them. AI output can contain errors or hallucinated facts; do not approve a draft without reading it.

8. Third-party platforms

The Service connects to third-party platforms (Google Business Profile, Trustpilot, Facebook) only where you authorize the connection. Your use of those platforms is also governed by their own terms. We are not responsible for their uptime, their API changes, or for reviews that exist on their platforms.

9. Limitation of liability

The Service is provided "as is", without warranties of any kind. To the maximum extent permitted by law, PandaPrism's total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect or consequential damages — including lost revenue from reviews you did or did not receive, or from replies you posted.

10. Termination

You may cancel anytime from your billing settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate your account if you materially breach these terms (for example, sending spam or posting fake reviews) or if we are required to do so by law. On termination, your right to use the Service ends; your reviews themselves remain on the platforms that published them.

[TO BE FILLED IN BY THE FOUNDER'S LAWYER.] These terms will be governed by the laws of a jurisdiction chosen by PandaPrism's legal counsel, and any disputes will be resolved in the courts of that jurisdiction. This section must be completed before the terms are considered final.

12. Changes to these terms

We may update these terms as the product changes. Material changes will be announced in the app or by email at least 14 days before they take effect. Continuing to use the Service after the changes take effect means you accept them.
